It would normally be that way with many corporations, but it seems I read something not that long ago that stopped that with energy companies and had something to do with the Windfall Profits Tax. Maybe somebody knows more?

It's clear CenterPoint's attorney is handling a lot of the setup work, and she and they are based in Houston.

I'm sure the entity will ultimately incorporate as they plan to issue an IPO before the end of the year; and even that can be registered anywhere (i.e., CenterPoint itself is a Delaware corp.).

I know companies like CHK and Chaparral at one time had, or currently have entities set up in multiple states to make it easier to operate in each of them. I'm sure there are different circumstances for midstream companies, but there may be advantages to setting it up that way.
